1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and EventConnect Tech LLC, doing business as KneesUp (“KneesUp,” “we,” “us,” or “our”).

By accessing or using www.kneesupvenues.com (the “Platform”) or any related service, you agree to abide by these Terms. If you do not agree to these Terms, you may not access or use the Platform or any services provided by KneesUp.

2. Eligibility and Account Registration

• Age Requirement: You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account and use the Platform.
• Account Information: When registering, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. If you suspect unauthorized use, you must notify us immediately.
• Account Suspension: We reserve the right to suspend or terminate any account that uses false information or violates these Terms.

3. User Conduct and Prohibited Uses

By using the Platform, you agree to use our services only for lawful purposes and in compliance with these Terms. Prohibited activities include, but are not limited to:

• Illegal Activities: Violating any applicable federal, state, local, or international laws or regulations.
• Harm to Others: Exploiting, harming, or attempting to harm minors.
• Spam and Unauthorized Marketing: Transmitting unsolicited advertising, promotional materials, or “spam.”
• Impersonation and Fraud: Impersonating KneesUp, its employees, other users, or any third party.
• Interference and Malicious Acts: Introducing viruses, malware, or performing denial-of-service (DDoS) attacks.
• Automated Access and Data Harvesting: Scraping, crawling, or using bots to collect data without permission.
• Reverse Engineering: Attempting to reverse engineer, decompile, or disassemble any part of our software.
• Off-Platform Transactions: Circumventing KneesUp’s payment processing to complete transactions off-platform.

Violation of any prohibited use may result in account suspension, termination, and legal action.

4. Intellectual Property Rights

• Ownership: All content, trademarks, logos, service marks, and other intellectual property displayed on the Platform (“KneesUp Content”) are owned by KneesUp, its affiliates, or licensors.
• Limited License: KneesUp grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and KneesUp Content for your personal, non-commercial purposes.
• Restrictions: You may not copy, modify, distribute, sell, or rent any part of the Platform or KneesUp Content without written consent.
• User-Generated Content: By posting reviews, comments, or other content (“User Content”), you grant KneesUp a perpetual, worldwide, royalty-free, irrevocable, sublicensable, and transferable license to use and distribute it.

5. Fees; Payments; Taxes

• Service Fees: KneesUp may charge fees for certain services (e.g., booking fees, host commissions). These are disclosed before you complete a transaction.
• Payment Processing: Payments are handled by third-party processors (e.g., Stripe). You represent that you are authorized to use the payment method.
• Refund Policy: Unless otherwise stated, all fees are non-refundable. Contact support@kneesup.com to request a refund.
• Taxes: You are responsible for any applicable taxes, duties, or fees levied in connection with your purchases or use of the Platform.

6. Disclaimers; No Warranties

• “As-Is” Basis: The Platform and all content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
• No Guarantee: We do not guarantee uninterrupted, secure, or error-free use of the Platform.
• Third-Party Links: We are not responsible for third-party content, products, or services linked through the Platform.

7. Limitation of Liability

To the fullest extent permitted by law:

• KneesUp and its affiliates, officers, directors, employees, agents, or licensors are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
• KneesUp’s total liability will not exceed the greater of:
  (a) the total amount you paid to KneesUp in the 12 months prior to the claim; or
  (b) one hundred U.S. dollars (USD $100).

8. Termination

• By KneesUp: We may terminate or suspend your access at any time, without notice, for breach of these Terms or other reasons.
• By You: You may close your account at any time via account settings or by contacting support.
• Effect of Termination: Your right to use the Platform ends immediately. Provisions that survive termination (e.g., IP rights, disclaimers, limitations) will continue to apply.

9. Governing Law; Dispute Resolution

• Governing Law: These Terms are governed by the laws of California, USA, without regard to conflict of laws.
• Informal Resolution: Please contact support@kneesup.com to attempt informal resolution of any dispute.
• Arbitration: Unresolved disputes will be settled by binding arbitration in California under American Arbitration Association rules.
• EU Consumers: Residents of the EU may have additional mandatory rights which supersede conflicting provisions here.

10. Severability; Waiver

• Severability: If any part of these Terms is deemed unenforceable, it will be modified to be enforceable, and all other parts will remain in effect.
• Waiver: Our failure to enforce any right does not waive that right or prevent future enforcement.

11. Changes to These Terms

KneesUp may update these Terms at any time at its sole discretion. If changes are material, we will provide at least 30 days’ notice via the Platform or email.
Continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes.
